Action:
A. Approve a contract with MV Transportation Inc. for Micro-Transit Services for an initial term of three years,
B. Authorize the City Manager to negotiate and execute a contract with Spare Labs Inc. for Micro-Transit Services using Software-As-A-Service solutions for an initial term of three years,
C. Authorize the City Manager to renew the contracts for up to two, one-year terms with possible price adjustments and to amend the contracts consistent with the purpose for which the contracts were approved, and
D. Authorize the City Manager to purchase such additional software licenses, services, hardware, maintenance and support, and system upgrades/expansions as required to maintain the system for as long as the city uses the system.

Explanation
§ The Charlotte Area Transportation System (CATS) is planning to enhance service delivery by integrating micro-transit services as part of the overall service network.
§ CATS’ micro-transit services will be an on-demand transit service solution that will primarily utilize the CATS Pass Mobile Application for booking and payment of trips being provided. Customers will also be able to book by phone and pay on-board the vehicle.
§ Annual aggregate expenditures for both contracts are estimated to $2,609,000.

§ On April 24, 2024, the city issued a Request for Proposals (RFP); four responses were received.
§ The proposal from MV Transportation Inc. in conjunction with Spare Labs Inc. best meets the city’s needs in terms of qualifications, experience, cost, and responsiveness to RFP requirements.
§ The turnkey service model will train and hire operators, provide vehicles to operate the service, maintain the vehicles, as well as offer a call center to book trips for members of the public who do not have a mobile device.
Action B
§ CATS desires to enter into a contract directly with Spare Labs Inc. and separate the software provider from the turnkey vehicle service provider in order to reduce software license costs and enable a path forward for CATS to easily expand this mobility option. A waiver has been approved to allow for contracting directly with Spare Labs Inc.
§ CATS also has the option to utilize Spare Labs Inc.’s software as a paratransit software solution which will provide more opportunities for efficiencies for CATS operations.

The city negotiates subcontracting participation after the proposal selection process. MV Transportation Inc. has committed 38.14% ($2,585,018) of the total contract amount to the following certified firm(s):
§ My Little Helper & CO LLC (MBE) ($2,585,018) (transportation facility, call center, transportation support)
Action B
This is a contract with a waiver of solicitation and is exempt from the CBI Program.
